Allgemeine Geschäftsbedingungen (AGB)

1. Scope

These terms govern all contracts between Luka Marusic, operating as StepLinq ("we", "us"), and the customer ("you") concerning the provision of the StepLinq software and related services. Customers are generally businesses (B2B) within the meaning of § 14 BGB.

2. Contract formation

A binding contract is formed when you place an order through Paddle and receive an order confirmation. Presentation of products on steplinq.com constitutes an invitation to treat and not a binding offer.

3. License grant

Subject to payment of the applicable fees, we grant you a non-exclusive, non-transferable licence to install and use StepLinq. Subscription licences (monthly or annual) entitle you to use the software for the duration of the paid subscription period. Perpetual licences entitle you to use the version of the software that was current at the time of purchase, plus any updates released during the included maintenance window, indefinitely. Solo License — single user on a single machine, self-approve workflow. Site License — unlimited users at one manufacturing site, with multi-user roles and StepLinq Viewer installs. Site + Build Docs License — all Site License rights plus per-unit build documentation and data collection features. You may not sublicense, resell, or redistribute the software. Reverse engineering is permitted only to the extent expressly allowed by § 69e UrhG.

4. Delivery

After successful payment, we deliver the licence key and download instructions by email. Delivery typically occurs within minutes.

5. Payment via Paddle

All payments are processed by Paddle.com Market Ltd as our Merchant of Record. Paddle issues the invoice, handles VAT, and collects the payment. Supported payment methods are those offered by Paddle at the time of purchase.

6. Maintenance and updates

Subscription licences include all updates released during the subscription period. Perpetual licences include free updates for two years from the date of purchase. After that period, continued updates require an optional maintenance subscription at the rates published on steplinq.com.

7. Refund policy

We offer a 14-day money-back guarantee on initial purchases. If StepLinq does not fit your needs, contact hello@steplinq.com within 14 days of purchase and we will refund the full amount. Statutory rights of withdrawal remain unaffected.

8. Support

Support is provided by email at hello@steplinq.com. Best-effort response times apply to all tiers; Site + Build Docs customers receive a 48-hour target response time during European business hours.

9. Intellectual property

All intellectual property rights in the software, its documentation, and related materials remain with us. Your work instructions, photos, and data created using the software remain your property.

10. Warranty

We warrant that the software substantially conforms to its documentation. Statutory warranty rights under German law apply. We do not warrant that the software will be error-free or uninterrupted.

11. Limitation of liability

We are liable without limitation for damages caused by intent or gross negligence and for damages resulting from injury to life, body, or health. For ordinary negligence, our liability is limited to foreseeable damages typical of this type of contract and, in total per contract year, to the amount paid by you for the licence. Liability under the German Product Liability Act remains unaffected.

12. Data protection

Processing of personal data is governed by our Privacy Policy. StepLinq is offline-first software; we do not receive any data you create with the software.

13. Termination

Subscription licences may be cancelled at any time with effect at the end of the current billing period. Perpetual licences do not expire and cannot be terminated unilaterally unless required by law or by a material breach.

14. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force. The invalid provision shall be replaced by a valid one that most closely reflects the economic purpose of the original.

15. Governing law and jurisdiction

These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For contracts with merchants (Kaufleute) within the meaning of the HGB, the exclusive place of jurisdiction is the court with jurisdiction over the registered place of business of Luka Marusic.
